Q: Your company has been involved in a pretty intense bidding fight with the Formation Capital people over Genesis HealthCare Corp. Why do you continue to ratchet up this contest?A: The two combined properties – Golden Ventures (formerly Beverly Enterprises Inc.) and Genesis – would be a much stronger platform for promoting long-term quality care.

Q: You said you’ve felt that you didn’t
have a fair shake in this bidding process from the beginning. Why not?

A: We’ve proven beyond a reasonable doubt that the (Genesis) board did the wrong things.
I don’t think there’s any more debate in that. Their proxy statement says they breached their fiduciary duty to their shareholders. This board should be reprimanded in a very serious and meaningful way.

Q: Can you comment on your ownership
of Golden Ventures so far?

A: We have increased staffing, education, made drug management and technology advances, and improved benefits to our associates in terms of 401K and greater flexibility in managing the hours they work. I am pleased with the progress. I am never content because we want to be the gold standard of the industry.

Q: What if you don’t succeed in buying Genesis?

A: We want to build a very large presence in
the marketplace. We’re looking at three or four other companies.
